Simcha Solutions LLC
1. Acceptance
These Website Terms of Service ("Terms") are a binding agreement between you and Simcha Solutions LLC ("Simcha Solutions," "we," "us") governing your access to and use of simchasolutions.com, simchadbstudio.com, and related pages, content, and forms (the "Sites"). By accessing or using the Sites, you agree to these Terms. If you do not agree, do not use the Sites.
2. Who may use the Sites
The Sites are intended for businesses and for individuals who are at least 18 years old (or the age of majority in their jurisdiction) and able to form a binding contract. If you use the Sites on behalf of an organization, you represent that you are authorized to bind that organization to these Terms.
United States only. Our Sites and services are intended for businesses located in the United States. They are not directed to, offered to, or intended for individuals located in the European Economic Area, the United Kingdom, or Switzerland. If you are located in those regions, please do not use the Sites or submit information through our forms.
3. The Sites are informational
The Sites provide information about Simcha Solutions, Simcha DB Studio, our resources, and our beta program. Content on the Sites is provided for general information only, is not a binding offer, and may change without notice. Descriptions of products, features, availability, and pricing may be updated or discontinued at any time.
4. Beta requests and resource downloads
When you submit a form to request beta access or download a resource, you agree to provide accurate information and that we may contact you about your request and about Simcha Solutions. Submitting a request does not entitle you to access; admission to the beta is at our discretion and governed by the Beta Program Agreement. Our handling of information you submit is described in our Privacy Policy.
5. Acceptable use
You agree not to:
- use the Sites in violation of any law or these Terms;
- attempt to gain unauthorized access to the Sites or any related systems;
- interfere with or disrupt the Sites, including by automated scraping, denial-of-service, or circumventing security or bot-protection measures;
- submit false, misleading, or another person's information; or
- use the Sites to send spam or to harvest information about others.
6. Intellectual property
The Sites and their content, including text, graphics, logos, white papers, blog posts, and software, are owned by Simcha Solutions or its licensors and are protected by intellectual property laws. We grant you a limited, revocable, non-exclusive, non-transferable license to view the Sites for your own informational and business-evaluation purposes. You may share links to our public content. You may not copy, republish, or create derivative works from our content for commercial purposes without our written permission. "Simcha Solutions" and "Simcha DB Studio" and our logos are our marks and may not be used without permission.
7. Third-party links and services
The Sites may link to third-party websites or rely on third-party services. We are not responsible for third-party content or practices. Your use of third-party sites and services is governed by their own terms.
8. Disclaimers
THE SITES AND THEIR CONTENT ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SITES WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE, OR THAT CONTENT IS ACCURATE OR COMPLETE.
9. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, SIMCHA SOLUTIONS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF THE SITES. OUR TOTAL LIABILITY FOR ALL CLAIMS RELATING TO THE SITES WILL NOT EXCEED ONE HUNDRED U.S. DOLLARS (USD 100).
10. Indemnification
You will indemnify and hold harmless Simcha Solutions from claims, damages, and expenses (including reasonable legal fees) arising out of your misuse of the Sites or violation of these Terms.
11. Changes to the Sites and these Terms
We may modify, suspend, or discontinue the Sites or any part of them at any time. We may update these Terms by posting a revised version with a new "Last updated" date. Your continued use of the Sites after changes take effect constitutes acceptance.
12. Governing law and disputes
These Terms are governed by the laws of the State of Georgia, without regard to conflict-of-laws rules. The state and federal courts located in Fulton County, Georgia will have exclusive jurisdiction, and you consent to their jurisdiction and venue.
13. Miscellaneous
These Terms, together with the Privacy Policy and any agreements referenced here, are the entire agreement between you and Simcha Solutions regarding the Sites. If any provision is held unenforceable, the remainder stays in effect. Our failure to enforce a provision is not a waiver. You may not assign these Terms; we may assign them in connection with a merger, acquisition, or sale of assets.
